1. Introduction and Acceptance of Terms

Welcome to WebPageIndexing.net (hereinafter referred to as "Service", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at [Your Website URL] and any related services provided by WebPageIndexing.net.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. These Terms constitute a legally binding agreement between you ("User", "you") and Web Page Indexing.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will notify you of any changes by updating the "Last updated" date at the top of these Terms.

2. Description of Service

WebPageIndexing.net provides services aimed at accelerating the discovery and indexing of web pages by search engines, such as Google (the "Services"). We employ various methods to signal search engines about the URLs you provide, with the goal of encouraging faster crawling and potential indexing.

We do NOT guarantee the indexing of every submitted URL, as the final indexing decision always rests with the search engine and depends on numerous factors, including content quality, site technical health, and adherence to search engine guidelines.

3. Use of the Service

To use the Services, you may be required to provide a list of URLs you wish to have indexed. You are solely responsible for the URLs you submit and affirm that you have the necessary rights to request indexing for these pages.

You agree to use the Service only for lawful purposes and in accordance with these Terms, as well as all applicable local, state, national, and international laws and regulations.

4. User Responsibilities and Restrictions

You agree NOT to use the Service to:

  • Submit URLs containing illegal, harmful, fraudulent, defamatory, obscene, or otherwise objectionable content.
  • Submit URLs of sites that infringe upon the intellectual property rights of third parties.
  • Submit URLs that violate Google's Webmaster Guidelines or the guidelines of other search engines.
  • Engage in any activity that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
  • Attempt to gain unauthorized access to the Service, other user accounts, or computer systems connected to the Service.
  • Use the Service for distributing spam or unsolicited bulk messages.

You are responsible for ensuring the technical accessibility of your pages (e.g., no `noindex` tags, correct `robots.txt` directives) before submitting URLs to our Service.

6. Intellectual Property

The Service and its original content (excluding URLs provided by users), features, and functionality are and will remain the exclusive property of [Your Company Name or Owner Name] and its licensors. The Service is protected by copyright, trademark, and other laws of both [Your Country of Registration] and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Web Page Indexing.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location; that any errors or defects will be corrected; that the Service is free of viruses or other harmful components; or that the results of using the Service will meet your requirements or expectations.

As previously stated, we do not guarantee the indexing of your submitted URLs by search engines.

8. Limitation of Liability

In no event shall Web Page Indexing, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  1. Your access to or use of or inability to access or use the Service;
  2. Any conduct or content of any third party on the Service;
  3. Any content obtained from the Service; and
  4. Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9. Indemnification

You agree to defend, indemnify and hold harmless Web Page Indexing and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

10. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

11. Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Dispute Resolution

Informal Negotiation First: We aim to resolve disputes efficiently and amicably. You and WebPageIndexing.net agree to first attempt to negotiate any dispute (except those disputes expressly excluded below) informally for at least thirty (30) days before initiating arbitration or court proceedings. Such informal negotiations commence upon written notice from one party to the other. You can send your notice to [Your Contact Email].

Binding Arbitration: If the parties are unable to resolve a dispute through informal negotiations, the dispute (except those disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.

The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") [or choose another provider like JAMS, LCIA, etc., appropriate for your location/users] and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules (and, where appropriate, limited by the AAA Consumer Rules). The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as otherwise provided herein, the parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

Location: The arbitration will take place in [City, State/Country where your business is primarily based or a chosen neutral location like New York, NY, USA].

Exceptions to Informal Negotiations and Arbitration: The parties agree that the following disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a party; (b) any dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither party will elect to arbitrate any dispute falling within that portion of this provision found to be illegal or unenforceable and such dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the parties agree to submit to the personal jurisdiction of that court.

Class Action Waiver: YOU AND WEBPAGEINDEXING.NET AGREE THAT ANY ARBITRATION OR COURT PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (1) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (2) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (3) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

Legal Review Required: Binding arbitration and class action waivers have significant legal implications and enforceability varies by jurisdiction, especially concerning consumers. You MUST consult with legal counsel before implementing this clause.
